Service Modifications
We reserve the right to modify, suspend, or discontinue any part of our services at any time with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of our services.
Service Availability
While we strive to maintain high availability, we do not guarantee that our services will be uninterrupted, timely, secure, or error-free. Scheduled maintenance windows will be communicated in advance when possible.
User Responsibilities
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Acceptable Use
You agree not to use our services for any unlawful purpose, to violate any laws, to infringe on intellectual property rights, to transmit malicious code, or to interfere with the proper functioning of our services.

Payment Terms
Fees and Billing

Payment Schedule
Unless otherwise agreed in writing, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges as permitted by law.
Taxes
All fees are exclusive of applicable taxes. You are responsible for paying all taxes, including sales, use, and value-added taxes, associated with your use of our services, except for taxes based on our net income.
Intellectual Property
Our Property
All intellectual property rights in our services, including software, documentation, and methodologies, remain our exclusive property or the property of our licensors. Nothing in these terms transfers any ownership rights to you.
Your Property
You retain all rights to your data and content. By providing content to us, you grant us a limited license to use that content solely for the purpose of providing our services to you.
Deliverables
Ownership of custom deliverables created for you will be specified in your service agreement. Unless otherwise agreed, you will own custom software developed specifically for you upon full payment.
Limitation of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Damages
IN NO EVENT SHALL TECHNISCHWERK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Maximum Liability
Our total liability for any claims arising from or related to these terms or our services shall not exceed the total amount you paid to us during the twelve (12) months preceding the claim.
Termination
Termination by You
You may terminate your use of our services at any time by providing written notice. Termination does not relieve you of any payment obligations for services already rendered.
Termination by Us
We may suspend or terminate your access to our services immediately if you breach these terms, fail to pay fees when due, or engage in conduct that we determine is harmful to our business or other users.
Effect of Termination
Upon termination, your right to access our services will cease. We will provide reasonable assistance to transition your data, subject to payment of any outstanding fees and applicable transition charges.
Additional Terms
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
Entire Agreement
These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and TechnischWerk regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements.
Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their successors and assigns.
